Introduction

These Terms of Use ("Terms") govern the access and use of the digital platform, including the website, mobile application, and related services ("Platform"), provided by Bharat Trust ("Company", "we", "us", "our").

By accessing or using the Platform, you ("User", "you", "your") acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy, as may be amended from time to time.

1. Eligibility

By accessing or using the Platform, you represent and warrant that:

  • You are a duly incorporated/registered business entity under the laws of India or a validly existing entity under the laws of your respective jurisdiction;
  • You are duly authorised to share vendor payment-related information and data on behalf of your organisation;
  • You are at least 18 years of age and competent to contract within the meaning of the Indian Contract Act, 1872.

2. Services

  • The Company provides a proprietary Payment Reliability Scoring Service that evaluates a business entity's vendor payment behaviour and aging trends, based on the data voluntarily submitted by such entity.
  • The Platform generates a Payment Reliability Score ("Score"), which may be made available to verified suppliers for their independent assessment before entering into business engagements.

Important Disclaimer

The Company does not, under any circumstances, provide:

  • • Credit ratings as defined under applicable law;
  • • Financial, investment, or legal advice;
  • • Any warranty or guarantee as to the financial soundness, creditworthiness, or legal compliance of any User or supplier.

3. Data Submission and Accuracy

You agree and undertake to:

  • Provide data that is accurate, complete, current, and lawful;
  • Ensure that you are authorised to disclose such data to the Company;
  • Not upload or submit any personal data or sensitive personal data, except as expressly required and with due consent.

Note: The Company reserves the right to suspend, restrict, or terminate access to the Platform where any data submitted is found to be false, misleading, unauthorised, or unlawful.

4. Use of Scores

  • The Score is a proprietary analytical output, intended solely for informational purposes.
  • The Score does not constitute a recommendation, endorsement, guarantee of performance, financial advice, or creditworthiness determination.
  • Any reliance by a supplier or third party on the Score is entirely at their own discretion and risk.

5. Intellectual Property Rights

  • All rights, title, and interest in and to the Platform, including its content, software, algorithms, scoring models, databases, designs, trade names, trademarks, and other intellectual property, are the exclusive property of the Company.
  • No User shall copy, reproduce, distribute, publish, reverse-engineer, decompile, modify, or otherwise exploit any part of the Platform without the Company's prior written consent.

6. Confidentiality

  • The Company shall maintain confidentiality of all data submitted by Users.
  • Raw data provided by you shall not be disclosed to suppliers or third parties.
  • Only anonymised insights and derived Scores may be shared, strictly in accordance with the Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the use of the Platform or reliance on the Score.
  • The Company does not warrant uninterrupted or error-free operation of the Platform.
  • The Company's aggregate liability, if any, arising from or in relation to these Terms or the Platform shall be limited to the actual amount paid by you (if any) to the Company for the services.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms;
  • Your misuse of the Platform;
  • Any third-party claim relating to the data or information submitted by you.

9. Termination

  • The Company may, at its sole discretion, suspend or terminate your access to the Platform, with or without prior notice, in case of breach of these Terms or violation of applicable laws.
  • You may discontinue use of the Platform at any time.
  • Upon termination, your data shall be deleted or retained strictly in accordance with the Privacy Policy and applicable law.

10. Dispute Resolution & Arbitration

  • Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the services, shall first be attempted to be resolved amicably through mutual consultation.
  • If such dispute is not resolved within 30 (thirty) days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time.
  • The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. In case of failure to agree, the arbitrator shall be appointed in accordance with the Act.
  • The seat and venue of arbitration shall be Vadodara, Gujarat, and the proceedings shall be conducted in English.
  • The arbitral award shall be final and binding on the parties.

11. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Subject to the arbitration clause above, the courts at Vadodara, Gujarat shall have exclusive jurisdiction over all matters arising under or relating to these Terms.

12. Force Majeure

The Company shall not be liable for any delay or failure in performance of its obligations caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, governmental actions, strikes, lockouts, internet failures, or power outages.

13. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Waiver

No failure or delay by the Company in enforcing any right, power, or remedy under these Terms shall constitute a waiver thereof. Any waiver must be expressly made in writing.

15. Notices

Any notices or communications under these Terms shall be sent to the Company at thebharattrust@gmail.com, and to the User at the contact details provided during registration.

16. Entire Agreement

These Terms, together with the Privacy Policy and any additional guidelines or terms communicated by the Company, constitute the entire agreement between the parties and supersede all prior understandings or arrangements relating to the subject matter.
